Terms of Service

1. Who you are agreeing with
KeepFlow (“we”, “us”) is a sole proprietorship operated from New York, NY. By creating an account or using the service you (“you”, the “Customer”) agree to these Terms.
2. The service
KeepFlow provides a hosted widget and dashboard that intercepts subscription cancellations on your site and offers your subscribers pause, discount, and exit-survey flows. Pause and discount actions are executed against your own Stripe account via Stripe Connect.
3. Free trial and subscription
New accounts include a 14-day free trial with full Starter-tier functionality. After the trial you must select a paid plan to continue using the service. Paid plans are billed monthly in advance and renew automatically until you cancel. You can cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period.
4. Refunds
All fees are non-refundable. We do not pro-rate partial months. If you believe you were charged in error, email hello@getkeepflow.com within 30 days and we will work with you in good faith.
5. Acceptable use
You agree not to use KeepFlow to: (a) violate any law or third-party right; (b) deceive your subscribers about pricing, terms, or the consequences of an action; (c) attempt to reverse engineer, probe, or disrupt the service; (d) resell the service without our written permission. We may suspend accounts that violate these rules.
6. Stripe Connect
By connecting your Stripe account you authorize KeepFlow to take actions on subscriptions on your behalf, including pausing collection, applying discount coupons, and reading subscription metadata. KeepFlow does not move funds and does not have access to your bank account or payout balance. You can revoke this authorization at any time from your Stripe dashboard.
7. Your data
You retain all rights to data you and your subscribers submit to KeepFlow. You grant us a non-exclusive license to process that data solely to operate the service. Our handling of personal data is described in the Privacy Policy.
8. Service availability
We aim for high availability but do not guarantee uninterrupted service. We may perform maintenance, modify features, or rely on third parties (Stripe, Supabase, Vercel) whose outages can affect availability. We are not liable for losses arising from such outages.
9. Disclaimers
The service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free or that any specific retention rate will be achieved.
10. Limitation of liability
To the maximum extent permitted by law, KeepFlow's aggregate liability arising out of or relating to the service is limited to the fees you paid in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or loss of data.
11. Termination
You may terminate your account at any time. We may terminate or suspend your account on notice if you breach these Terms or fail to pay fees. On termination your right to use the service ends and we will delete your data subject to the retention periods in the Privacy Policy.
12. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict of law rules. Any dispute will be resolved exclusively in the state or federal courts located in New York County, New York, and you and we consent to personal jurisdiction there.
13. Changes
We may update these Terms over time. Material changes will be communicated by email at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
